Legal Counsel

We are seeking a Legal Counsel to join our team in Winnipeg. Reporting to the Vice President, Legal, the Legal Counsel will support a broad range of corporate law matters, with a primary focus on advising the corporate development team on the negotiation and execution of M&A transactions and leading commercial contracting activities.

Responsibilities

• Support M&A activity by drafting and negotiating transaction documents, advising on transaction structures, and collaborating with external counsel, opposing counsel, lenders, landlords, regulators, and other third parties.
• Provide general legal support and advice in corporate and commercial law.
• Review and advise on complex commercial contracts, business structures, and arrangements; draft and review various commercial agreements.
• Handle internal corporate legal matters, including share issuances, transactions, and maintenance of corporate legal records.
