Fixed Income Structured Products Attorney

Legal counsel responsible for managing various operational and legal risks concerning structured fixed income transactions including deal contingent hedges.



PRINCIPAL ACCOUNTABILITIES:


+ Provide legal support to Mizuho Capital Markets, Mizuho Securities USA LLC and affiliated U.S. and non-US entities with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters;

+ Advise on deal-contingent hedges and related swaps;

+ Analyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment letters;

+ Analyze credit agreements and other transaction documents concerning project financing transactions;

+ Advise on securities laws-related matters and provide dedicated coverage to existing structured note programs;
